The Board of Directors of Dialog Group Berhad (“DIALOG”) wishes to announce that its dormant indirect wholly owned subsidiary, Dialog Services, Inc (“DSI”), has submitted an application to the Office of the Secretary of State of Texas, United States of America for the voluntary dissolution of DSI and pursuant to a notification received on 18 November 2017, DSI has been dissolved effective from 30 October 2017. Accordingly, DSI has ceased to be an indirect wholly owned subsidiary of DIALOG.
The voluntary dissolution of DSI will not have any effect on the share capital of DIALOG and substantial shareholders’ shareholdings in DIALOG and will not have any material effect on the gearing, earnings and net assets of DIALOG for the financial year ending 30 June 2018.
In so far as the directors of DIALOG are able to ascertain, none of the directors of DIALOG, major shareholders of DIALOG and/or persons connected with them have any interest, whether direct or indirect, in the voluntary dissolution.
The Board of Directors of DIALOG, after due consideration of all aspects, is of the opinion that the voluntary dissolution of DSI is in the best interest of DIALOG.
